Abstract
Franšizni oblik poslovanja predstavlja izvrstan način za započeti određeni oblik poduzetničkog pothvata, zbog minimalne rizičnosti od neuspjeha. Franšizni sustav svakim danom sve se više i više razvija, kako geografski tako i oblikom i načinom poslovanja. Franšiza predstavlja oblik sporazuma između davatelja i primatelja franšize kod kojih davatelj daje pravo korištenja određenog proizvoda ili usluge korisniku franšize, a on mu za to plaća određeni iznos franšizne naknade. Davatelj mora biti u stalnom kontaktu s korisnikom, na način da mu pruža potporu, obavještava ga o novostima, raznim izmjenama u pravilima i propisima te pružiti mu razne obuke kako bi mogao kvalitetno voditi poslovanje. U pravnom sustavu RH, franšizing je bio određen Zakonom o trgovini iz 1996.godine, prema članku 16c ZOT-a iz 1996.godine. U novije vrijeme javljaju se novi pravni standardi koji ne zahtijevaju potpuno vezivanje primatelja franšize za kupnju cjelokupne ponude od strane prodavatelja franšize. Za korisnika franšize prednost je u tome što na tržište ulazi s već prihvaćenim imenom, proizvodom ili uslugom pri tom ima pomoć pri vođenju poslovanja od strane davatelja. Za davatelja franšize primarna je prednost kod ovakve vrste poslovanja, u brzom širenju korištenjem malo osobnog kapitala. Ali postoje i rizici od strane davatelja franšize da će teško pronaći kvalitetne korisnike franšize. Loš način upravljanja, unatoč svim treninzima i obukama, može uzrokovati propadanje pojedinih podružnica franšize što se negativno može odraziti na cjelokupan sustav franšize. U radu je prezentirano kako je franšizni sustav jako povoljna prilika za s ve one koji se žele okušati u poduzetničkim vodama i za one poduzetnike koje žele proširiti svoje poslovanje.
Abstract (english)
A franchise form of business is a great way to start a particular form of entrepreneurial venture, due to the minimal risk of failure. The franchise system is developing more and more every day, both geographically and in the form and way of do ing business. A franchise is a form of agreement between the franchisor and the franchisee in which the provider gives the right to use a particular product or service to the franchisee, and he pays him a certain amount of franchise fee. The provider must be in constant contact with the user, in a way that provides him with support, informs him about news, various changes in rules and regulations and provides him with various trainings in order to be able to run a quality business. In the legal system of the Republic of Croatia, franchising was determined by the Trade Act of 1996, according to Article 16c of the ZOT of 1996. More recently, new legal standards have emerged that do not require the franchisee to be fully bound to purchase the entire offer by the franchisee. For the franchisee, the advantage is that he enters the market with an already accepted name, product or service and has help in running the business by the provider. For the franchisor, the primary advantage of this type of business is in the rapid expansion using little personal capital. But there are also risks on the part of franchisors that it will be difficult to find quality franchisees. Poor management, despite all the training and coaching, can cause the failure of some branches of th e franchise, which can negatively affect the entire franchise system. The paper presents that the franchise system is a very favorable opportunity for all those who want to try their hand at entrepreneurial waters and for those entrepreneurs who want to expand their business.
